THIS SWEEPSTAKES IS OPEN ONLY TO NATURAL PERSONS WHO ARE LEGAL RESIDENTS OF AND PHYSICALLY LOCATED IN ONE (1) OF THE FIFTY (50) UNITED STATES OR THE DISTRICT OF COLUMBIA OR CANADA AND WHO HAVE REACHED THE LEGAL AGE OF MAJORITY IN THEIR JURISDICTION OF RESIDENCE AT THE TIME OF ENTRY. VOID WHERE PROHIBITED OR RESTRICTED BY LAW. PARTICIPATION IN THIS SWEEPSTAKES CONSTITUTES ACCEPTANCE OF THESE OFFICIAL RULES. BY PARTICIPATING IN THE SWEEPSTAKES, EACH PARTICIPANT REPRESENTS AND WARRANTS THAT HE OR SHE MEETS THESE ELIGIBILITY REQUIREMENTS AND HAS READ, ACCEPTS AND WILL COMPLY WITH THESE OFFICIAL RULES.

1. HOW TO ENTER No purchase necessary. The Stash Bash Promotion (the “Sweepstakes”) begins at 12:00:01 a.m. Eastern Time (“ET”) on February 18, 2021 and ends on March 31, 2021, by 11:59:59 PM (the "Sweepstakes Period").

Eligible Purchase: All orders placed on Yarnspirations.com within the Sweepstakes Period will receive an Instant Discount (as defined below). By placing an order within the sweepstakes period, all entrants will be entered into the grand prize draw. All Entries must be manual. Automated Entries are prohibited, and any use of automated devices will result in disqualification.

For Canadian residents, print your first name, last name, telephone number, complete mailing address (including postal code) and age on a plain white piece of paper and mail it (in an envelope with sufficient Canadian postage) along with a self-addressed pre-paid stamped envelope with sufficient return Canadian postage to the following address: Stash Bash ORDER NUMBER Request, Spinrite LP, 219 Dufferin St. Unit 100B, Toronto, Ontario, M6K 3J1 c/o: Digital Marketing Team (each a “Canadian Request”).

For US residents, print your first name, last name, telephone number complete mailing address (including zip code) and age on a plain white piece of paper and mail it (in an envelope with sufficient U.S. postage) along with a self-addressed pre-paid stamped envelope with sufficient return U.S. postage (Vermont residents may omit return postage) to the following address: Stash Bash ORDER NUMBER Request, Coats & Clark Inc. 2. ELIGIBILITY THIS SWEEPSTAKES IS OPEN ONLY TO NATURAL PERSONS WHO ARE LEGAL RESIDENTS OF AND PHYSICALLY LOCATED IN ONE (1) OF THE FIFTY (50) UNITED STATES OR THE DISTRICT OF COLUMBIA OR CANADA AND WHO HAVE REACHED THE LEGAL AGE OF MAJORITY IN THEIR JURISDICTION OF RESIDENCE AT THE TIME OF ENTRY. Sweepstakes may only be entered from and within eligible jurisdictions. You are not eligible to participate or win a prize in the Sweepstakes if you are: (a) an employee of SPINRITE LP; (b) an immediate family member (defined as mother, father, brother, sister, son, daughter, or spouse, regardless of where you reside) of an Employee (a “Family Member”); or (c) a person residing in the same household as an Employee or a Family Member. At any time, SPINRITE LP will have the right to request from any individual who has participated in these Sweepstakes by submitting an Entry (each an “Entrant”), proof of identity and/or eligibility to participate. Failure to provide proof within a reasonable time could result in the Entrant’s disqualification. Sweepstakes is subject to all applicable federal, state, provincial, territorial and local laws and regulations. SPINRITE LP reserves the right to disqualify any Entrants who, in SPINRITE LP’s sole discretion, do not comply with these Official Rules or who otherwise tamper with the entry process. Void outside of the 50 U.S. states, D.C., Canada and where prohibited by law.

3. AGREEMENT TO BE LEGALLY BOUND BY THESE OFFICIAL RULES By participating in the Sweepstakes, you are signifying your agreement that you have read and agree to be legally bound by the terms and conditions of these Official Rules and Regulations (the “Official Rules”).

4. THE DISCOUNTS/PRIZES Instant discounts: After placing an order on Yarnspirations.com and on receipt of an order confirmation, a coupon code (the “Instant discounts”) will be issued to the value of that can be redeemed at Yarnspirations.com. The following Instant Discounts will be available to be won: 5% off, 10% off, 15% off - with the odds of obtaining each Instant Discount set at 1 in 3. Discounts must be redeemed on or before March 31, 2021 (the “Redemption Deadline”) and are subject to the terms and conditions of the issuer.

Grand Prize (1): There will be one (1) Grand Prize (the “Grand Prize”) available to be won, consisting of a yarn prize pack at an approximate retail value of $100 USD. Prizes will be awarded by SPINRITE LP to the winner selected by SPINRITE LP in accordance with Rule 3. Unless indicated below, all elements of the prize are provided by SPINRITE LP. The Grand Prize must be accepted as awarded and is not transferable, assignable or convertible to cash (except as may be specifically permitted by SPINRITE LP in its sole and absolute discretion). No substitutions except at SPINRITE LP’s option. SPINRITE LP reserves the right, in its sole discretion, to substitute any Prize with a prize of equal or greater value, including, without limitation, but at SPINRITE LP’s sole discretion, a cash award. As part of the Prize acceptance agreement, the winner agrees to accept the Prize “as is”, and entrants hereby acknowledge that SPINRITE LP has neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to a Prize, including, without limitation, to a Prize’s quality, merchantability or fitness for a particular purpose or express warranties (if any) provided exclusively by a prize supplier that are sent along with a Prize. If winner does not accept or use the entire Prize (as awarded), the unaccepted or unused part of the Prize will be forfeited and SPINRITE LP will have no further obligation with respect to that Prize or portion of the Prize.

5. ELIGIBLE INSTANT DISCOUNT RECIPIENT SELECTION AND CONFIRMATION PROCESSES Once you have completed your Entry in accordance with Rule 1, you will automatically be notified by email as to which Instant Discount you are eligible to receive. NO ONE IS A RECIPIENT OF AN INSTANT DISCOUNT UNLESS AND UNTIL SPINRITE LP OFFICIALLY CONFIRMS HIM/HER AS A RECIPIENT OF THE INSTANT DISCOUNT IN ACCORDANCE WITH THESE OFFICIAL RULES. FOR CANADIAN RESIDENTS ONLY: Once you have been notified as to which Instant Discount you are eligible to win, then prior to being confirmed as the winner of the applicable Instant Discount you may be required to correctly answer a mathematical skill-testing question without mechanical or other aid. FOR ALL PARTICIPANTS: By participating in the Sweepstakes and accepting an Instant Discount, you hereby: (i) confirm compliance with these Official Rules; (ii) acknowledge acceptance of the applicable Instant Discount (as awarded); (iii) release the Released Parties from any and all liability in connection with this Sweepstakes, your participation therein and/or the awarding and use/misuse of the applicable Instant Discount or any portion thereof; and (iv) agree to the publication, reproduction and/or other use of your name, address, voice, statements about the Sweepstakes and/or photograph or other likeness without further notice or compensation, in any publicity or advertisement carried out by or on behalf of the SPINRITE LP in any manner whatsoever, including print, broadcast or the internet, except where prohibited by law. If an eligible Instant Discount recipient: (a) cannot accept (or is unwilling to accept) the applicable Instant Discount (as provided) for any reason; and/or (b) is determined to be in violation of these Official Rules (including, but not limited to, a Canadian resident failing to correctly answer the skill-testing question) (all as determined by the SPINRITE LP in its sole and absolute discretion); then he/she may, in the sole and absolute discretion of the SPINRITE LP, be disqualified (and, if disqualified, will forfeit all rights to the applicable Instant Discount). IMPORTANT NOTE: Any forfeited or unclaimed Instant Discount(s) in this Sweepstakes will NOT be awarded.

6. ELIGIBLE GRAND PRIZE WINNER SELECTION, NOTIFICATION AND CONFIRMATION PROCESSES On or around March 31, 2021, (the “Draw Date”) in Toronto, Ontario at approximately 2:00 p.m. ET, one (1) eligible entrant for the Grand Prize will be selected by random draw from among all eligible Entries and Bonus Entries (collectively, the “Sweepstakes Entries”) submitted and received in accordance with these Official Rules. The odds of winning depend on the number of eligible Sweepstakes Entries submitted and received in accordance with these Official Rules.

SPINRITE LP or its representative will attempt to contact the selected Entrants by email or phone once per day for three (3) business days. If the selected Entrant does not respond via email, phone or voicemail within three (3) business days, or is contacted but is deemed to be ineligible in SPINRITE LP’s sole discretion, or is unable or unwilling to comply with these Official Rules, that selected Entrant will be disqualified and another Entrant will be randomly selected from the remaining eligible Entries and contacted in accordance with this Rule. SPINRITE LP is not responsible for any change in an Entrant's email address. Prizes will be mailed within sixty (60) business days after receiving necessary information and, where not prohibited, an executed Affidavit of Eligibility, Release of Liability and Release of Publicity from the winner. All federal, state, provincial and/or local taxes/duties are the sole responsibility of the winner. No cash or other substitution or transfer of prizes permitted, except that SPINRITE LP reserves the right to substitute a prize of equal or greater value in the event of prize unavailability due to circumstances beyond its control. FOR CANADIAN RESIDENTS ONLY: Once you have been notified as to the Prize you are eligible to win, then prior to being confirmed as the winner of the applicable Prize you will be required to correctly answer a mathematical skill-testing question without mechanical or other aid. If the eligible winner: (a) fails to return the properly executed Sweepstakes documents within the specified time; (b) cannot accept (or is unwilling to accept) the applicable Prize (as awarded) for any reason; and/or (c) is determined to be in violation of these Official Rules (including, but not limited to, a Canadian resident failing to correctly answer the skill-testing question) (all as determined by the SPINRITE LP in its sole and absolute discretion); then he/she will be disqualified (and will forfeit all rights to the applicable Prize) and the SPINRITE LP reserves the right, in its sole and absolute discretion and time permitting, to randomly select an alternate eligible entrant from among the remaining eligible Sweepstakes Entries submitted and received in accordance with these Official Rules (in which case the foregoing provisions of this section shall apply to such newly selected eligible winner).

7. GENERAL CONDITIONS This Sweepstakes is subject to all applicable federal, state, provincial/territorial and municipal laws, rules and regulations. The decisions of the SPINRITE LP with respect to all aspects of this Sweepstakes are final and binding on all entrants without right of appeal. ANYONE DEEMED BY THE SPINRITE LP TO BE IN VIOLATION OF THE SPINRITE LP’S INTERPRETATION OF THE LETTER AND/OR SPIRIT OF THESE OFFICIAL RULES FOR ANY REASON IS SUBJECT TO DISQUALIFICATION IN THE SOLE AND ABSOLUTE DISCRETION OF THE SPINRITE LP AT ANY TIME. The Released Parties will not be liable for: (i) any failure of any Website or any platform (including, but not limited to, Social Platform) before, during or after the Sweepstakes; (ii) any technical malfunction or other problems of any nature whatsoever, including, without limitation, those relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; (iii) the failure of any Entry, Bonus Entry, Request, PIN CODE, Eligible Product, Eligible Purchase and/or other information to be received, captured or recorded for any reason whatsoever, including, but not limited to, technical problems or traffic congestion on the internet or at any website; (iv) any injury or damage to an entrant’s or any other person’s computer or other device related to or resulting from participating in the Sweepstakes; (v) anyone being incorrectly and/or mistakenly identified as a winner or eligible winner; and/or (vi) any combination of the above. In the event of a dispute regarding who submitted an Entry, the SPINRITE LP reserves the right, in its sole and absolute discretion, to deem the Entry to have been submitted by the authorized account holder of the email address submitted at the time of entry. “Authorized account holder” is defined as the person who is assigned an email address by an internet provider, online service provider, or other organization (e.g. business, educational institute, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. An entrant may be required to provide proof (in a form acceptable to the SPINRITE LP – including, without limitation, government issued photo identification) that he/she is the authorized account holder of the email address associated with the Entry in question. The SPINRITE LP reserves the right, subject only to the approval of the Régie des alcools, des courses et des jeux (the “Régie”) in Quebec, Canada, to withdraw, amend or suspend this Sweepstakes (or to amend these Official Rules) in any way, in the event of any cause beyond the reasonable control of the SPINRITE LP that interferes with the proper conduct of this Sweepstakes as contemplated by these Official Rules, including, without limitation, any error, problem, computer virus, bugs, tampering, unauthorized intervention, fraud or failure of any kind whatsoever. Any attempt to undermine the legitimate operation of this Sweepstakes in any way (as determined by SPINRITE LP in its sole and absolute discretion) may be a violation of criminal and civil laws and should such an attempt be made, the SPINRITE LP reserves the right to seek remedies and damages to the fullest extent permitted by law. The SPINRITE LP reserves the right, subject only to the approval of the Régie in Quebec, to cancel, amend or suspend this Sweepstakes, or to amend these Official Rules, in any way without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind, or for any other reason whatsoever. Without limiting the generality of the forgoing, the SPINRITE LP reserves the right, in its sole and absolute discretion, to administer an alternate test of skill as it deems appropriate based on the circumstances and/or to comply with applicable law.

For residents of Quebec, Canada: Any litigation respecting the conduct or organization of a publicity Sweepstakes may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the board only for the purpose of helping the parties reach a settlement.

By entering this Sweepstakes, each entrant expressly consents to the SPINRITE LP, its agents and/or representatives, storing, sharing and using the personal information submitted only for the purpose of administering the Sweepstakes and in accordance with SPINRITE LP’s privacy policy. SPINRITE LP and any third party agents of SPINRITE LP will use personal information only for purposes related to this contest and will be required to protect all personal information in a manner that is consistent with the privacy policy available at: www.yarnspirations.com/privacy-policy. This section does not limit any other consent(s) that an individual may provide the SPINRITE LP or others in relation to the collection, use and/or disclosure of their personal information. If you are selected as a winner, your information may also be included in a publicly-available winner’s list.

The SPINRITE LP reserves the right, subject only to the approval of the Régie in Quebec, Canada, to adjust any of the dates, timeframes and/or other Sweepstakes mechanics stipulated in these Official Rules, to the extent deemed necessary by the SPINRITE LP, for purposes of verifying compliance by any entrant, Entry, Bonus Entry, Request, PIN CODE, Eligible Product, Eligible Purchase and/or other information with these Official Rules, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of the SPINRITE LP, in its sole and absolute discretion, affect the proper administration of the Sweepstakes as contemplated in these Official Rules, or for any other reason. In the event of any discrepancy or inconsistency between the terms and conditions of these English Official Rules and disclosures or other statements contained in any Sweepstakes-related materials, including, but not limited to, point of sale, television, print or online advertising, the French version of these Official Rules and/or any instructions or interpretations of these Official Rules given by any representative of the SPINRITE LP, the terms and conditions of these English Official Rules shall prevail, govern and control to the fullest extent permitted by law.

The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with the terms as if the invalid or illegal provision were not contained herein.

To the fullest extent permitted by applicable law, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of participants, SPINRITE LP or any of the other the Released Parties in connection with the Sweepstakes will be governed by and construed in accordance with the domestic laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction’s laws. The parties hereby consent to the exclusive jurisdiction and venue of the courts located in Ontario in any action to enforce (or otherwise relating to) these Official Rules or relating to this Sweepstakes.

For U.S. residents: By entering, Entrants agree that all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, Entrants’ rights and obligations, or the rights and obligations of SPINRITE LP in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of New York without giving effect to any choice of law or conflict of law rules. By entering, Entrants consent to the jurisdiction and venue of the federal, state and local courts for New York, New York.
